Affiliate Program Policy

This Affiliate Program Policy ("Policy") governs participation in the Kalapani Coffee affiliate program ("Program"), operated by Kalapani Coffee ("Company"). By applying to or participating in the Program, you ("Affiliate," "you") agree to this Policy in full. If you do not agree, do not apply.

1. Program overview

The Program lets approved participants earn a commission on qualifying sales made at kalapani.coffee through a unique tracking link or discount code we issue to you. Nothing in this Policy creates an employment, agency, partnership, or joint venture relationship. You are an independent contractor and have no authority to make commitments on our behalf.

2. Eligibility

To participate, you must:

  • Be at least 18 years old and legally able to enter into contracts.
  • Maintain a website, social account, newsletter, podcast, or other channel with genuine, original audience engagement.
  • Comply with all applicable laws, including the FTC Endorsement Guides and the CAN-SPAM Act, and with the terms of every platform you post on.
  • Provide accurate registration and tax information.

We may approve or decline any application at our sole discretion, for any lawful reason, and are not required to explain the decision.

Not eligible: sites containing adult content, hate speech, harassment, illegal activity, or content directed at children under 13; sites that infringe intellectual property; and current employees or contractors of Kalapani (unless we approve in writing).

3. Application and approval

Submit an application through https://kalapani.coffee/pages/affiliate. Approval is confirmed by email and takes effect on the date stated in that email. Your account remains in good standing only while you follow this Policy.

4. Commission structure

  • Commission rate: A set percentage of the net product subtotal on qualifying orders, where percentage is set individually for each applicant. 
  • Net product subtotal excludes shipping, handling, taxes, duties, gift wrap, gift cards, discounts, and any refunded or canceled amounts.
  • Attribution window: [30] days from the customer's last click on your tracking link, tracked by cookie. Discount-code orders are attributed to the code owner regardless of cookie state.
  • Attribution model: last click wins. If a customer clicks another affiliate's link after yours and within their window, that affiliate earns the commission.
  • Subscription orders: [commission applies to the initial order only / applies to the first N recurring orders / applies to all recurring orders while your account is active — pick one].
  • Gift cards: commission is earned when the gift card is redeemed for products, not when it is purchased.

We may change commission rates or the attribution window at any time with [15] days' notice by email. Changes are not retroactive to orders already placed.

5. Non-qualifying orders

No commission is earned on orders that are:

  • Refunded, canceled, charged back, or unpaid.
  • Placed with a stolen or fraudulent payment method.
  • Generated through any prohibited practice in Section 7.
  • Placed after your account is terminated or suspended.

Commissions already paid on such orders may be deducted from future payouts or invoiced back to you.

6. Payment terms

  • Approval period: commissions are held until fulfillment of the order date to cover returns and chargebacks.
  • Payout schedule: approved commissions are paid monthly.
  • Minimum payout threshold: None
  • Payment method: PayPal / bank transfer, in USD. You are responsible for any fees your payment provider charges and for currency conversion.
  • Taxes: you must provide a completed IRS Form W-9 (U.S.) or W-8BEN (non-U.S.) before your first payout. U.S. affiliates paid $600 or more in a calendar year will receive a Form 1099-NEC. You are solely responsible for all taxes on your commissions.
  • Unclaimed balances: accounts with no qualifying activity for [12] consecutive months may be closed and any balance below the minimum threshold forfeited, to the extent permitted by law.

7. Prohibited practices

You may not:

  1. Bid on our brand terms. No paid search, shopping, or social ads on "Kalapani," "Kalapani Coffee," "kalapani.coffee," or confusingly similar variants and misspellings, including as broad-match or in ad copy and display URLs.
  2. Direct-link paid traffic to kalapani.coffee from any ad platform without our prior written approval.
  3. Use cookie stuffing, forced clicks, hidden iframes, pop-unders, adware, browser extensions that inject affiliate links, or any method that sets tracking without a genuine, informed click.
  4. Post to coupon, deal, cashback, or loyalty sites without prior written approval, or distribute codes we have not authorized for public posting.
  5. Spam. No unsolicited email, SMS, DMs, comment spam, or forum posts. All email must comply with CAN-SPAM and include a working unsubscribe.
  6. Misrepresent the brand. No false, exaggerated, or unsubstantiated claims about our products, sourcing, or company.
  7. Make health or medical claims. Do not claim that our coffee or tea diagnoses, treats, cures, or prevents any disease, or state specific health outcomes. Product benefits must stay within what appears on our own product pages.
  8. Register domains, social handles, or app names containing our trademarks or close variants.
  9. Impersonate Kalapani, create a page or account that appears to be our official presence, or represent yourself as an employee or spokesperson.
  10. Scrape, resell, or list our products on marketplaces (Amazon, eBay, Walmart, etc.) or present yourself as an authorized reseller or distributor.
  11. Modify our site content, create framed or mirrored versions of kalapani.coffee, or alter pricing displays.
  12. Bid against us in shopping feeds or submit our products to comparison engines using your affiliate link without written approval.

8. Required disclosures

Every post, video, story, email, or page that includes your affiliate link or code must include a clear and conspicuous disclosure that you earn a commission. Follow the FTC Endorsement Guides:

  • Place the disclosure where people will see it before they click — not buried in a bio, behind a "more" link, or only in a hashtag block at the end.
  • Use plain language: "I earn a commission from purchases made through this link."
  • On video, disclose both verbally and on screen. On live streams, repeat it periodically.
  • Platform tools (for example, Instagram's "Paid partnership" label) are helpful but not sufficient on their own.

You are responsible for your own compliance. We may require you to correct or remove any content that lacks adequate disclosure.

9. Brand assets and trademark use

We grant you a limited, revocable, non-exclusive, non-transferable license to use the logos, images, and copy we provide in our affiliate asset kit, solely to promote our products during your participation in the Program. You may not alter our logos, combine them with other marks, or use them in a way that implies endorsement of anything other than a purchase of our products. All goodwill from your use runs to us. This license ends immediately when your participation ends, and you must remove our assets and disable your links within 10 business days.

10. Your content and your channels

You are solely responsible for your channels, your content, and any claims you make. You must maintain your own privacy policy and comply with applicable privacy laws (including the CCPA/CPRA where relevant). Do not collect personal information on our behalf or represent that we are collecting it.

11. Monitoring and audits

We may review your traffic, content, and placements at any time to verify compliance. We may withhold, delay, or reverse commissions while we investigate suspected fraud or a Policy violation. You agree to provide reasonable information about your promotional methods on request.

12. Term, suspension, and termination

Either party may terminate participation at any time, for any reason, with written notice (email is sufficient). We may suspend or terminate your account immediately, and forfeit unpaid commissions, if we determine in good faith that you have engaged in fraud, cookie stuffing, trademark abuse, or another material violation of this Policy.

On termination for any other reason, we will pay approved commissions earned before the termination date, subject to the minimum threshold and the approval period.

13. Changes to this Policy

We may modify this Policy at any time. Material changes take effect [15] days after we post the updated version or email you, whichever comes first. Continued participation after that date is acceptance. The current version always governs.

14. Disclaimers and limitation of liability

The Program is provided "as is." We do not guarantee any level of traffic, sales, or earnings, and we do not warrant that tracking will be uninterrupted or error-free. We are not liable for lost commissions caused by ad blockers, browser privacy settings, customer cookie deletion, or third-party platform failures.

To the maximum extent permitted by law, our total liability arising out of or relating to the Program will not exceed the total commissions paid to you in the [six (6)] months preceding the claim. Neither party is liable for indirect, incidental, special, consequential, or punitive damages.

16. Governing law and disputes

This Policy is governed by the laws of the State of California, without regard to its conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in [Stanislaus County / San Joaquin County], California.

17. General

This Policy is the entire agreement between the parties regarding the Program and supersedes prior discussions. If any provision is held unenforceable, the rest remains in effect. You may not assign your participation without our written consent. Our failure to enforce any provision is not a waiver of it.
